Job Description
JOB DESCRIPTION:
- Advise management and business teams on applicable laws, regulations, contractual obligations, and legal risks affecting business operations.
- Draft, review, negotiate, and manage a broad range of commercial agreements, including sales, purchasing, lease, confidentiality, human resources, and partnership agreements.
- Develop and maintain contract templates and legal documents to improve consistency, efficiency, and risk control.
- Support corporate governance matters, including entity administration, delegations of authority, board and shareholder approvals, statutory filings, licences, powers of attorney, and corporate records.
- Identify, assess, and mitigate compliance risks, and support policies, training, investigations, and remediation relating to ethics, anti-bribery, competition, data privacy, conflicts of interest, and other relevant requirements.
- Support mergers and acquisitions, investments, restructurings, financing, and other strategic projects, including due diligence, transaction documents, approvals, closing, and post-closing actions.
- Manage external legal service providers, including engagement scope, quality, budget, and performance.
- Prepare clear legal reports, risk assessments, and recommendations for management and escalate material issues promptly.
- Deliver legal and compliance training and promote a culture of integrity, accountability, and early engagement with the Legal function.
- Perform other legal duties and projects reasonably assigned by management.
JOB REQUIREMENT:
- Bachelor's degree in Law;
- Typically 7-8 years of legal experience, including in-house or business-facing experience;
- Strong knowledge of commercial contracts, corporate law, regulatory compliance, dispute management, and employment-related legal matters.
