The Role

We are looking for an Associatewith a minimum of 2 years of relevant law firm experience to join our team.

The position is suitable for a Vietnam qualified lawyer or a trainee lawyer progressing toward qualification, with practical experience in corporate advisory, M&A transactions, foreign investment and related commercial matters.

Candidates are expected to have substantive legal experience and the ability to handle assigned legal work and transaction workstreams with appropriate autonomy under partner supervision.

Experience in Dispute Resolution & Arbitration would be an additional advantage.

Depending on experience, responsibilities will include:

• Drafting and reviewing commercial contracts, transaction documents, legal opinions and other legal documents
• Advising on corporate, commercial, regulatory and foreign investment matters under Vietnamese law
• Handling and supporting M&A transactions, including legal due diligence, transaction structuring, documentation and closing procedures
• Advising on corporate establishment, restructuring, governance and ongoing corporate compliance
• Conducting legal research and providing practical, commercially oriented legal advice
• Participating in client meetings and communicating directly with international clients
• Managing assigned matters, transaction workstreams and deadlines under partner supervision
• Supervising and reviewing the work of paralegals and interns
• Training and supporting junior team members
• Supporting commercial disputes and arbitration matters where relevant

Qualifications

• Bachelor of Laws or equivalent from a recognized university
• Minimum of 2 years of relevant professional experience in a law firm, with substantive involvement in Corporate & M&A matters
• Demonstrated experience in corporate advisory, M&A transactions, foreign investment or related commercial legal work
• Qualified to practice law in Vietnam, or currently undertaking the required professional training toward qualification
• Strong legal research, analytical and legal drafting skills
• Strong written and spoken Vietnamese and professional English
• Ability to independently prepare and review substantive legal documents and manage assigned workstreams under partner supervision
• Ability to supervise and provide constructive guidance to junior team members
• Ability to manage multiple matters with accuracy, responsiveness and attention to detail
• Commercial mindset and ability to provide practical, solution-oriented advice
• Strong teamwork, communication and client management skills
• Experience working with international clients or cross-border transactions is an advantage
• Experience in commercial dispute resolution, litigation or arbitration is an additional advantage
