POSITION: LEGAL MANAGER

JOB SUMMARY:

The Legal Manager manages day-to-day legal, compliance, corporate governance, and legal operations across the Company's multinational operations in Southeast Asia, Central Asia, and selected European jurisdictions.

The role supports the execution of the legal and compliance strategy, identifies and mitigates key operational risks, maintains corporate governance frameworks, and acts as an operational advisor to business stakeholders. The role manages the Legal & Compliance team and coordinates with external counsel to deliver efficient, business-oriented legal support across the Group.

RESPONSIBILITIES:

Legal & Compliance Strategy & Risk Management

• Implement and maintain the Company's legal and compliance framework across jurisdictions.
• Advise internal teams and management on legal, regulatory, commercial, and operational risks in daily operations.
• Apply risk-based priorities, escalation thresholds, and legal review standards for business requests.
• Monitor key regulatory developments and assess their impact on the Group's business and operations.

Legal Operations & Contract Governance

• Manage daily legal intake, matter workflows, approval routing, and service SLAs.
• Review, draft, and negotiate complex commercial contracts while ensuring adherence to contracting guidelines and approval matrixes.
• Oversee contract lifecycle management and ensure appropriate controls over material and non-standard agreements.
• Drive standardization, automation, and continuous improvement of legal processes and systems.

Corporate Governance & Compliance

• Manage legal housekeeping and corporate filings across the Group's entities and jurisdictions.
• Establish governance standards for corporate approvals, directors, authorized signatories, powers of attorney, and statutory obligations.
• Execute internal compliance monitoring, policy updates, risk assessments, and compliance training.
• Ensure compliance responsibilities are appropriately embedded across business functions.

Cross-Border & Strategic Legal Support

• Provide legal support for market expansion, new business lines, cross-border contracts, and corporate initiatives.
• Determine local legal, regulatory, licensing, and external counsel requirements for new jurisdictions and business activities.
• Assist with managing legal disputes, regulatory inquiries, and internal investigations.

External Counsel & Legal Vendor Management

• Own the Group's external counsel and legal vendor strategy across jurisdictions.
• Oversee counsel selection, scope, performance, fee arrangements, and legal spend.
• Ensure effective allocation between internal Legal resources and external advisors.

Team Leadership & Function Development

• Manage and mentor legal specialists and team members, ensuring high standards of work and delivery.
• Set team strategy, KPIs, service standards, resource plans, and development priorities.
• Build a proactive, commercially minded, and solution-oriented legal culture.
• Prepare operational reports on legal matters, compliance status, and risk updates for management.

JOB REQUIREMENTS:

• Education: Bachelor's degree in Law required; Master's degree or Lawyer qualification is an advantage.
• Major: Law, Commercial Law, Corporate Law, or related fields.
• Experience: 5–8 years of relevant experience in corporate legal, commercial contracts, or compliance, including 2+ years managing team members or projects.
• Industry: Experience in IT, technology, software, outsourcing, SaaS, or other multinational businesses is strongly preferred.
• International Experience: Proven experience managing legal and compliance matters across multiple jurisdictions and working with international counsel and stakeholders.
• Expertise: Strong knowledge of corporate governance, commercial contracts, compliance, IP, data/privacy, employment, and cross-border operations.
• Leadership: Strong operational management, problem-solving, stakeholder coordination, and team supervision skills.
• Business Acumen: Commercially minded with the ability to balance legal risk and business objectives.
• Language: Excellent English communication skills, written and verbal.
• Other Requirements: High integrity, sound judgment, ownership, maturity, and resilience in a fast-paced multinational environment.
