Role Description

Sliner is looking for a Legal & Contracts Specialist to manage the full lifecycle of contracts with clients and partners, from drafting and negotiation to execution, monitoring, and termination. In this role, you will help ensure that Sliner's transactions are supported by a sound legal framework, balance the interests of all parties, and align with the requirements of a cross-border consulting business.

Key Responsibilities

1.Contract Review & Drafting

Review, draft, and revise a wide range of agreements, including service agreements for accounting and tax services, partnership agreements, employment contracts, software agreements (SaaS/licensing), NDAs, and contracts with international partners.

2.General Corporate Legal Advisory

Provide legal guidance on corporate and employment compliance, tax-related matters in coordination with the Accounting and Tax teams, intellectual property matters such as software and trademark protection, personal data protection regulations, and relevant e-commerce requirements.

3.Negotiation & Transaction Support

Support the Management Team in negotiating contractual terms with partners, clients, and investors. Participate in M&A and investment transactions where required.

4.Legal Risk Management

Identify and assess legal risks across Sliner's business activities and recommend appropriate mitigation measures, particularly in areas such as finance, accounting, technology, and cross-border e-commerce.

5.Internal Policies & Compliance

Develop and update internal policies and procedures, including employment regulations, information security policies, and customer data handling policies.

6.External Legal Counsel Management

Coordinate with external lawyers and law firms when specialized advice, litigation support, or complex cross-border legal expertise is required, while managing the external legal services budget.

7.Legal Updates & Other Responsibilities

Monitor regulatory developments relevant to Sliner's business, including accounting, tax, accounting solutions, software licensing, and e-commerce regulations, and provide timely updates and recommendations to the Management Team.

Requirements

• Bachelor's degree in Economic Law, International Law, International Trade Law, or a related field.
• 3–5 years of experience drafting and reviewing commercial contracts at a law firm, consulting firm, or in-house legal department.
• Proficiency in English, with the ability to draft and negotiate contracts in both English and Vietnamese.
• A genuine interest in international law and cross-border legal matters.
• Strong logical and analytical thinking, with a proactive and detail-oriented approach, a high level of confidentiality, and the ability to work effectively both independently and as part of a team.
