Job Description

Key Responsibilities:

Be responsible for all corporate matters include licensing, contract management, intellectual property, policies, tax etc.

  • Obtain all necessary required license, approval, permits from competent authorities for business operation, IP registration/protection.
  • Contract management: support the negotiation, drafting, and review of contracts that minimize risks and maximize legal rights of the company.
  • Litigation management.
  • Due diligence for M&A deals (including negotiation, drafting, and review M&A instruments).

Minimize legal risks relating to company's business operations

  • Ensure compliance with all relevant legal, regulatory and ethical standards and highlighting when these are at risk of being breached.
  • Participate/design/review and implement legal policies and procedures.
  • Stay up-to-date with changes to legislation, particularly in relation to laws, rules and regulations that directly affect company business.
  • Provide legal training to other departments as instructed by General Counsel.

Acting as business and legal consultant regarding business/corporate planning/structure and strategic decision-making

  • Provide accurate, relevant, and timely advice to other department on a variety of legal topics that relate to the daily business operation/products or services under the supervision of the Senior Legal Officer.
  • Legal research and other tasks as instructed by the Senior Legal Officer from time to time.

Requirements

  • Bachelor's degree in Law (graduated from HCMC Law University)
  • Strong command of English both written and spoken and possesses strong drafting skills
  • At least 3 years of experience in legal field (as in-house counsel or associate at a law firm)
  • Ability to research and analyze the regulation
  • Outstanding written and oral communication skills, with the ability to communicate effectively and authoritatively to a diverse audience, and to explain complex regulatory legislation and principles
  • Proficient in using Microsoft Office software (Word, Excel, PowerPoint)
