Job Description

Role Purpose

Own end-to-end legal risk for M Villages hotel/co-living portfolio: keep all sites licensed and compliant, standardize contracting and governance, lead PDPL readiness, manage disputes cost-effectively, and enable fast, compliant growth.

Key Responsibilities

  • Licensing & Compliance: Maintain site-by-site licensing tracker; coordinate inspections/renewals; keep records display-ready; issue concise compliance bulletins and SOP updates.
  • Contracts & Commercial: Run intake-to-archive lifecycle; maintain template and clause library (liability, IP, indemnity, termination, KPIs, data); perform vendor/legal DD; ensure anti-bribery/related-party controls.
  • Corporate Governance: Manage charters, board actions, seals, capital changes, multi-entity structures, and statutory filings.
  • Real Estate & Projects: Support acquisitions/leases; review EPC/fit-out contracts (specs, securities, LDs, acceptance/warranty); ensure regulatory close-out.
  • Disputes & Insurance: Triage guest/vendor/employee claims; propose settlement strategy; maintain litigation log (status/budget/exposure); coordinate insurers and coverage.
  • Employment & Labor: Partner with HR on Labor Laws, due-process discipline, seasonal/part-time; review related labor docs and notices.
  • Data Protection (PDPL): Lead roadmap (inventory, legal bases, consent, notices, cross-border, DPAs, DPIA, incident response, DSARs, training) with IT; deliver readiness by 01/01/2026.
  • IP & Marketing: Register/police trademarks; clear campaigns, promotions, influencer and UGC consent; manage music licensing if any.
  • Procurement & Ethics: Embed tender/3-quote policy; manage COI and gifts registers; support investigations/whistleblowing.
  • Policies, Training & Controls: Own legal policy suite (Contract Policy, DOA, Privacy, Records, Dawn-Raid/Inspections); deliver short, case-based quarterly training; keep audit-ready files.
  • External Counsel & Budget: Manage panel; negotiate fee caps/AFAs (Alternative Fee Arrangements); track spend and outcomes.

Minimum Requirements

  • Education: LL.B (Bachelor of Law) or higher; Lawyer Card preferred.
  • Experience: from 7 years experience with 3+ years in hospitality/retail real estate/F&B chains.
  • Strengths: Contracting (construction/vendor/ops), licensing/PCCC, labor & PDPL implementation, dispute handling.
  • Languages: Vietnamese (native); English (professional).
  • Tools: e-signature, contract repository; Google Workspace familiarity.
