Job Description

We are looking for a Legal Manager who will responsible for all legal matters at Galaxy Education.

RESPONSIBILITIES

1. Legal Strategy & Compliance

  • Develop and implement legal and compliance strategies aligned with business objectives.
  • Identify, assess, and manage legal risks across the Company and its subsidiaries.
  • Advise CEO, Board of Directors, and Executive Management on key legal and business matters.
  • Monitor regulatory changes and assess their impact on operations.

2. Corporate Governance & Commercial Support

  • Oversee corporate governance matters, including corporate structure, internal policies, and corporate resolutions.
  • Ensure compliance with corporate, labor, education, data protection, and related regulations.
  • Draft, review, negotiate, and manage key commercial contracts.
  • Provide legal support to business and operations teams.

3. M&A, Investments & Strategic Transactions

  • Lead legal aspects of M&A, investments, fundraising, and strategic transactions.
  • Advise on transaction structures, legal risks, and mitigation solutions.
  • Coordinate and work with external legal advisors and consultants.
  • Support deal execution and post-transaction legal matters.

4. Disputes & Legal Operations

  • Oversee disputes, complaints, inspections, and litigation matters.
  • Work with external counsel and authorities as required.
  • Manage the in-house legal team, external counsel, and legal budgets.
  • Continuously improve legal processes and risk management frameworks.

REQUIREMENTS

  • Bachelor's degree in Law (Business Law, Economic Law, or Commercial Law).
  • 46 years of experience in in-house legal roles or reputable law firms.
  • Solid knowledge of corporate law, contracts, and labor law; experience in M&A or strategic transactions is a strong advantage.
  • Good command of English for professional working purposes.
  • Strong legal mindset with a practical, business-oriented approach, able to balance legal risks with business needs.
  • Experience in managing, coaching, and motivating a legal team, with the ability to develop team capabilities and foster collaboration.

WORKING LOCATION: 51-53 Vo Van Tan, Xuan Hoa Ward, HCMC

WORKING TIME: 8:30 - 18:00 from Monday to Saturday (Alternate Saturdays)
