ABOUT THIS ROLE

The Legal Counsel of Vietnam and Thailand will play a key role in enhancing the second line functionality of TMF's Global Legal Function at a country level by connecting with local management, understanding and addressing the legal needs of the country, driving progress on the yearly global legal priorities & KPI's in the markets, as well as managing legal risks in accordance with the group risk appetite. The Legal Counsel will report into the Market Head of Legal for South Asia and Australasia with a matrix reporting line to the Country Heads of Vietnam and Thailand respectively.

More specifically, the Legal Counsel will be responsible for:

  • Acting in accordance with the global legal objectives, the (inhouse) legal service delivery and control model.
  • Acting as the main point of contact for in-house legal services and resolving legal issues in each country.
  • Steer and support local offices to improve the alignment and adherence to global legal policies, standards and guidelines.
  • Enhance TMF's second line of defense functionality in legal matters, improving progress on legal deliverables and remediate internal audit findings in the market.
  • Support local offices to meet client delivery and business development goals.

KEY RESPONSIBILITIES

  • Fulfil Business Legal's role in the second line of defense within TMF, enhancing central legal risk management:
  • Actively participate in relevant local board and local committee meetings to advise and guide local management on relevant legal matters in consultation with Market Head of Legal.
  • Update local management and Market Head of Legal on legal developments in the market including legislative and regulatory developments.
  • Facilitate the first line of defense within TMF with local implementation of global legal policies, procedures, and standards, ensuring compliance with group legal policies, procedures, and standards as well as local legislative requirements.
  • Work with the Market Head of Legal and Country Lead to operationalize and embed effective controls and practices.
  • Proactively monitor the implementation of global legal policies, procedures, standards, and local legal requirements.
  • Perform second line testing in connection with Group Legal and Group Director Legal.
  • Ensuring high-quality in-house legal service delivery with high business impact:
  • (Pro-actively) advise on and support the local management with the following legal topics: local client contracting (including PoAs and NDAs), claims & litigation, regulatory strategic advice, procurement, legal entity management, various registrations, intercompany agreements, HR support, data privacy, company secretarial, and remediating internal audit findings.
  • Support correspondence with authorities and escalate to Market Head of Legal and/or local management when necessary.
  • Work with the Group Real Estate & Procurement team to ensure compliance with local legislative requirements and manage TMF real estate matters
  • Work with Group Legal Corporate team to ensure adequate support in restructuring and M&A matters, enhance collaboration on board governance, company secretarial matters, legal entity management and intragroup agreements.
  • Ensure timely reporting of legal cases and control of related external spend together with market legal counsels.
  • Ensure the local implementation of local client service agreement (LSA) templates and standards, and timely escalations in accordance with the LSA escalation matrix.
  • Facilitate the delivery of yearly Global Legal Priorities & KPI's, contributing to the success of TMF strategy:
  • Supports the delivery of Global Legal Priorities & KPI's at the country level.
  • Suggests local strategy, support Market Head of Legal to execute and resolve bottlenecks and to improve progress on the Global Legal Priorities & KPI's in the market.
  • Support in accurate reporting on progress on the Global Legal Priorities & KPI's.

JOB SPECIFIC REQUIREMENTS

  • You must have at least a Bachelors Degree in Law from a reputable university with at least 4 years of relevant legal work experience, preferably both in-house and in a law firm.
  • You have knowledge of corporate, civil, labour, data protection and liability and other applicable laws.
  • You have experience in collaborating with colleagues across different functions and reaching consensus with diverse stakeholders.
  • You can understand the interests of several stakeholders and can build strong relationships.
  • You are result-driven, have a hands-on mentality and are proactive; you work carefully and accurately.
  • You are a team player, ambitious and proactive; you are focused on cooperation and solutions; you show persuasiveness.
  • You have strong analytical skills and can quickly identify the interests involved in a case, while constructively safeguarding and representing the interests of the market.
  • You can make trusted judgement calls and possess a professional and independent decision-making ability.
  • You have strong time management skills and an ability to prioritize effectively and manage multiple competing demands
  • You can develop strong client relationships and handle correspondence with clients in a timely manner
  • You can deliver ad hoc assignments
  • You have excellent communication (verbal and written) and influencing skills (English).
  • You feel comfortable working in a team that considers continuous improvement of processes and services as well as customer and market orientation important. You are an active contributor to those improvements.
  • You have an affinity with financial and administrative service providers.
