Job Description
Role with dual role responsibilities for leading and managing for Vietnam, Cambodia and Laos, all Legal matters and Ethics and Compliance program.
This is an individual contributor role
Selected candidate will serve as the organization's internal control point for all legal matters, ethics and improprieties, allegations, complaints and conflicts of interest.
Legal
- Contract Review: Responsible for all non-standard contract reviews including major contract tenders (on both sale and procurement side) to ensure compliance with contract approval policies and matrices. Maintain appropriate data base / MIS of reviews done to facilitate long term analysis of liability trends
- Corporate Governance: Responsible for overseeing and managing corporate governance matters including organizing board and shareholder meetings, doing all filings with appropriate government authorities, obtaining relevant approvals etc.
- Litigation management: Instruct external counsels on litigation & arbitrations, support debt recovery litigation, provide legal support for routine customer complaints. Maintain MIS of litigations and ensure timely reporting to RHQ.
- Business advisory: Support Management and HR on all legal issues, provide legal opinions on issues pertaining to various aspects of business, work as part of cross functional teams (eg. business development) and generally be the first point of contact for any legal issue within the country.
- Trainings: Provide trainings to country management and employees basis training plan finalized by RHQ. Lead roll out of various legal policies within the country.
Ethics & Compliance
- Serve as a resource to Management for interpretive guidance and other corporate policies
- Drive an ethical culture in the organization that meets the spirit
- Develop and implement Ethics and Compliance communications, training plans including conducting ethical decision-making training for Management and employees on ethics issues and avoiding conflicts of interest and appropriate introductory training for new employees
- Conduct investigations into alleged breaches, report the results of those investigations to senior Management Convene Disciplinary Review Committees to review and approve recommended discipline arising from verified breaches
- Develop and maintain confidential procedures for the handling and processing of complaints and allegations. Provide processes for the confidential hearing of employee issues related to the ethics or conflicts
International Trade Compliance (ITC)
Act as ITC lead to ensure compliance with requirements for ITC including
1. Develop and implement ITC communications, training and execution plans
2. Ensure implementation of Facility Management Policy
Other Duties
Support compliance monitoring activities, including audits and self-evaluations. Duties, responsibilities and activities may change at any time with or without notice.
Required Education and Experience
1. Legal qualification from a reputable University in Vietnam;
2. Post qualification experience of more than 7 years in similar role;
3. Preferably worked in a MNC environment or reputable Law Firm.
4. Strong communication skills and proficient in English (written and spoken)
5. Hands on experience in contract drafting and negotiations & compliance initiatives
