Position: Legal & Compliance Assistant Manager/ Senior Legal & Compliance Officer
Report to: Head of Legal and Compliance
Job Description:
The Legal & Compliance Assistant Manager is responsible for preparing, managing, conducting all legal aspects of project development, ensuring compliance with relevant regulations, and managing the relevant stakeholders/external counterparties.
1/ Legal & Compliance for the renewable energy projects and energy efficiency projects (collectively, Projects)
- Contract management: Drafting, negotiating, and reviewing contracts and relevant transaction documents.
- Legal check: Conducting thorough legal reviews of potential projects with regard to (including but not limited) to lands, buildings, and legal entities.
- M&A and financing/refinancing activities: Conducting thorough legal due diligence, pre-signing, signing, closing, and post-closing.
- Legal opinions and solutions: Providing legal advice and solutions to internal stakeholders (including management) and external parties involved.
- Supporting and managing project licensing work (done by internal and/or external stakeholders). On top of the above-mentioned tasks, ensuring all legal aspects are addressed, deadlines are met, and compliance is fulfilled.
- Regulatory compliance: Staying up-to-date on the ever-evolving legal and regulatory landscape for renewable energy and EE.
- Governance: Ensuring the company/Projects adhere to best practices in governance, particularly regarding signing and approval processes.
- Risk management: Identifying legal and compliance risks associated with the Projects and developing strategies to mitigate them.
2/ Corporate Legal & Compliance
- To manage and be responsible for all corporate matters in accordance with the Laws of Vietnam and Group policies.
- To review and manage all corporate-related contracts/ legal documents, O&M-related contracts/ legal documents, and office operation-related contracts/ legal documents.
- To conduct and submit the relevant internal reports to the Group.
3/ Corporate Licensing
- To conduct and manage all corporate and investment registrations with the competent State authorities.
- To conduct and submit all corporate and investment reports required by the Laws of Vietnam to the competent State authorities.
4/ Litigation Management: In the event of legal disputes, manage and coordinate with external legal counsel to ensure the company's interests are effectively represented.
5/ Policy advocacy:
- Participating in advocating for policies at the national level (Vietnam) that support the growth and development of Projects.
- Collaborating with internal stakeholders on policy advocacy efforts.
6/ Team management (if any)
- Providing leadership and guidance to a team of legal professionals.
- Fostering a collaborative and supportive work environment for the legal team.
7/ Performing other tasks as assigned by the direct manager and the Management.
Experience:
- 57 years of experience (prior experience in the renewable energy sector is an advantage)
- Qualified lawyer (with practice certificate) is a plus
- Other work experiences as described in recruitment requirements.
Education:
- Law University
- Lawyer training course
Skills and Knowledge:
- Dept knowledge in legal field, especially for the above-mention JD.
- Exellent in leading both internal and external communicaions/ negotiations.
- Good in leadership skills.
- Details oriented, with business and growth mindset, problem solving capacities.
- Exellent in English
