Job Description

We are seeking a highly experienced and strategic Legal Manager to lead our legal and compliance functions. This role demands a proactive professional capable of developing robust compliance frameworks, providing expert commercial legal advice, and effectively managing legal risks across all business operations.

What You Will Do

Compliance:

  • Develop, implement, and oversee the company's compliance framework to ensure adherence to applicable laws, regulations, and industry standards.
  • Monitor and interpret changes in relevant regulatory and legal requirements; advise management on potential risks and recommended actions.

Commercial Legal:


  • Draft, review, and negotiate a wide range of commercial contracts, including but not limited to vendor agreements, service contracts, NDAs, partnership agreements, licensing, and distribution arrangements.
  • Provide legal advice and strategic input to business teams on commercial transactions, deal structures, and operational initiatives.
  • Support procurement and sales functions by mitigating legal risks in contract negotiations.
  • Manage disputes related to commercial relationships, including pre-litigation strategy and settlement negotiations.
  • Collaborate with cross-functional teams (e.g., Finance, HR, IT, Operations) to ensure alignment between legal considerations and business objectives.

General Legal Support:


  • Serve as a key advisor to senior leadership on legal matters impacting the company's operations.
  • Coordinate with external counsel when necessary, ensuring cost-effective and quality legal service delivery.
  • Support corporate governance and assist with board and shareholder matters.

Team Leadership and Development


  • Supervise junior legal or compliance team members; mentor and support their professional development.
  • Promote a culture of integrity, accountability, and proactive legal risk management across the organization.

Who You Are


  • Graduated from the University of Law
  • Having skills in in-depth research through the internet and other sources, having good communication, and presentation skills.
  • Being proactive at work, staying updated on the law, and being able to point out the problem with proper solutions.
  • Licensed to practice law in Vietnam (lawyer card issued by the Vietnam Bar Federation)
  • Experience: Minimum 5 years in an in-house role
  • Strong understanding of Vietnamese corporate, commercial, and regulatory law.
  • Familiarity with licensing, foreign investment procedures, and local government processes.
  • High sense of responsibility and can work under high pressure.
  • Having a strong legal mindset, willing to keep the standpoint in a good way
  • Having analysis skills with strong legal knowledge.
  • Fluent in Vietnamese and English (both written and spoken)
  • Having experience in digital marketing, e-commerce, retail, and wholesale is preferable
  • Having experience working in a law firm is a plus
  • Open-minded attitude
  • Excellent legal drafting and contract negotiation skills (in both Vietnamese and English).
