Job Description

JOB DESCRIPTION

1. Legal Advice & Compliance

  • Provide legal advice to the Board of Directors and relevant departments on all company activities (business, investment, HR, marketing, operations, etc.).
  • Ensure that all company activities, projects, products, and services comply with applicable laws and regulations.
  • Identify and review potential legal risks and propose preventive solutions to minimize disputes.

2. Contract Management & Transactions

  • Draft, review, and revise contracts, cooperation agreements, memorandums of understanding, NDAs, etc.
  • Participate directly in negotiating legal terms with partners, clients, and suppliers.
  • Develop standard contract templates and establish approval and filing procedures.

3. Internal Governance & Policies

  • Draft, update, and issue company regulations, rules, and internal policies related to legal matters.
  • Provide legal advice on labor law, social insurance, disciplinary actions, and employee rights.
  • Support the HR department in handling labor disputes when necessary.

4. Dispute Resolution & Enforcement

  • Represent or coordinate with external lawyers in dealing with authorities, arbitration centers, and courts in case of disputes.
  • Collect evidence, prepare documentation, and develop strategies to protect the companys interests.
  • Monitor and ensure compliance with contractual obligations; handle breaches by partners.

5. Legal Updates & Training

  • Regularly update and analyze new laws/regulations and assess their impact on company operations.
  • Provide training and guidance to employees on relevant legal requirements.
  • Act as an advisor to help the company adapt promptly to changes in laws and policies.

  • Job Requirements

    • Bachelors degree in Law (Economic Law, Commercial Law, or related fields).
    • At least 35 years of experience in corporate legal counsel/ in-house counsel roles; experience in large corporations or groups is an advantage.
    • Solid knowledge of Corporate, Commercial, Labor, and Investment Law.
    • Strong skills in legal drafting, negotiation, analysis, and problem-solving.
    • Preferably experienced in dispute resolution and litigation.
    • Excellent skills in contract drafting and reviewing, with the ability to provide clear and accurate legal advice.
    • Strong communication, negotiation, and teamwork skills.
    • Detail-oriented, responsible, and able to work under pressure.
