Legal & Compliance Team Leader

JOB OBJECTIVES:

Ensure that Galaxy Play operates in accordance with all legal regulations, corporate governance, content copyright, and legal requirements in the field of digital content and online distribution (VOD). Serve as the focal point for legal advice and coordination of compliance throughout the organization.

MAIN RESPONSIBILITIES:

1. Legal and Corporate Governance:

Initiate, maintain and optimize internal legal processes, ensuring accuracy, transparency and efficiency in corporate governance.

Convening and organizing meetings of the Board of Directors and the General Meeting of Shareholders; drafting meeting minutes and resolutions in accordance with regulations.

Drafting, reviewing and controlling contracts, agreements, and legal documents related to the company's business activities.

Manage and store legal records, licenses, and important documents in a systematic manner.

2. Compliance:

Ensure that the company fully complies with the provisions of Vietnamese Law and requirements from specialized management agencies.

The company's representatives work and maintain effective relationships with competent state agencies.

Support for legal audits, due diligence and reporting requests from partners or regulatory agencies.

Monitor and update legal changes that may affect the company's operations, thereby making recommendations and taking appropriate action.

3. Digital content copyright and handling of violations:

Monitor and handle copyright infringement of content and products owned or manufactured by Galaxy Play.

Coordinate with platforms, authorities and partners to handle pirated content on the internet.

Work closely with the content, production, and technology departments to ensure copyright and content exploitation rights are fully complied with.

Participate in negotiating, reviewing and advising on legal terms in content copyright purchase/sale contracts, especially contracts with international partners (Hollywood, Independent studios, etc.).

4. Business support and internal consulting:

Legal advice for departments related to business strategy, product, marketing, human resources and operations.

Proactively anticipate potential legal risks in new projects and offer mitigation solutions.

Guide and train managers and personnel in the enterprise on legal compliance, business ethics, data security, user privacy and internal governance.

SKILL AND EXPERIENCE

Graduated with a Bachelor of Law, preferably with a Master's degree in Business Law, Intellectual Property Law, or a law practice certificate.

Have a minimum of 5 years of experience in an equivalent position in the field of media, digital content, technology or entertainment.

Solid knowledge of Intellectual Property Law, Enterprise Law, Labor Law and regulations on digital content distribution.

Good communication, negotiation and problem-solving skills; logical and strategic thinking.

• Proficiency in English (speaking, writing, reading contracts).
