Job Description & Summary
The OGC Leader – Vietnam is responsible for leading the Vietnam OGC function and managing all day‑to‑day legal, regulatory and governance matters of the Vietnam firm. The role provides high‑quality, pragmatic legal advice to support the firm's business objectives while protecting the firm against legal and regulatory risk.

This role also serves as the Data Protection Officer (DPO) for the Vietnam firm and leads company secretarial and corporate governance responsibilities, working closely with Territory leadership, MYVN OGC, Risk & Quality, and Global OGC.

Key Responsibilities 

Legal Advisory & Risk Management 

  • Lead and manage all legal matters for the Vietnam firm, providing timely and practical legal advice to business and enabling functions. 
  • Advise leadership and engagement teams on legal, regulatory, governance and risk issues relevant to operations in Vietnam. 
  • Manage legal aspects of Troublesome Practice Matters (TPMs), Significant Adverse Matters (SAMs), regulatory enquiries and disputes, in coordination with MYVN General Counsel and CRO. 
  • Monitor changes in Vietnam laws and regulations and assess their impact on the firm, recommending and implementing appropriate responses. 

Contracting & Commercial Legal Support 
  • Oversee and manage contracting support for the Vietnam firm, including review and negotiation of: 
  • Terms of Business (TOB) 
  • Client and vendor agreements 
  • Non‑Disclosure Agreements (NDAs) 
  • Hold Harmless Letters (HHLs) 
  • Ensure contracts align with PwC Network standards, local legal requirements and risk appetite. 
  • Partner with engagement teams to identify and mitigate contractual and commercial risks. 

Data Protection Officer (DPO) Responsibilities 


  • Act as the Data Protection Officer for PwC Vietnam. 
  • Oversee compliance with Vietnam data protection laws and PwC Network privacy requirements. 
  • Advise on data privacy, information protection, data incidents and cross‑border data transfer matters. 
  • Coordinate with Risk & Quality, IT, MYVN OGC and Global teams on data protection governance and remediation actions. 

Company Secretarial & Corporate Governance 
  • Lead company secretarial and corporate governance matters for Vietnam entities, including: 
  • Board, partner and statutory meetings 
  • Corporate filings, licences and regulatory submissions 
  • Maintenance of statutory and corporate records 
  • Advise leadership on corporate governance obligations under Vietnamese law and PwC Network expectations. 
  • Support corporate restructuring, new business activities and regulatory approvals as required. 

Stakeholder Management & Network Engagement 
  • Act as the primary legal point of contact for Vietnam with MYVN General Counsel, CRO, Territory Leadership and Global OGC. 
  • Manage relationships with external legal counsel and regulators where appropriate. 
  • Contribute to regional and network legal initiatives, including SEAPEN collaboration projects. 

Experience & Qualifications 


Required 
  • Qualified lawyer with a recognised legal qualification and eligibility to practise in Vietnam. 
  • Minimum 12–15 years post‑qualification experience, with strong exposure to corporate / commercial law and regulatory matters. 
  • Solid understanding of the Vietnam legal and regulatory environment. 
  • Proven experience operating in a regulated or professional services environment. 

Preferred 
  • Prior in‑house legal experience, ideally within a professional services or multinational organisation. 
  • Experience with data protection and privacy governance. 
  • Exposure to company secretarial or corporate governance responsibilities.
