Role Description
Corporate Governance & Shareholder Relations
Directly draft and prepare dossiers and documents for the General Meeting of Shareholders and Board of Directors meetings.
Act as the Corporate Secretary: Record minutes, draft Resolutions, and monitor the implementation of board decisions.
Manage information disclosure activities and maintain transparent relationships with shareholders.
Contract & Legal Document Management
Lead the drafting, vetting, and direct negotiation of various commercial contracts: Seafood raw material procurement, service supply, international logistics, factory construction, machinery and equipment, etc.
Review and ensure the legal compliance of internal documents, regulations, and policies issued by the company.
Legal Advisory & Operational Support
Provide in-depth legal advice to the Board of Management regarding operational risks (environmental issues, food safety, labor, etc.).
Conduct legal due diligence for new investment projects, M&A deals, or factory expansions.
Compliance & Risk Control
Establish a compliance control system; regularly update changes in the Law on Enterprises, Law on Investment, import-export regulations, and international technical barriers to trade.
Oversee legal compliance at subordinate branches and factories.
Coordinate with the Quality Assurance/Quality Control (QA/QC) departments to review the legal validity of ASC and BAP certification dossiers, ensuring consistency between internal regulations and international standards.
Dispute Resolution
Represent the company or coordinate with outside counsel to handle complaints, labor disputes, commercial disputes, or litigation at Court/Arbitration.
Protect the company's brand image and reputation during legal incidents.
Government Relations
Execute procedures for the issuance or renewal of permits (Investment Registration Certificates, environmental permits, food hygiene and safety certificates, etc.).
Represent the company in working and liaising with authorities during inspections or audits.
Training & Guidance
Develop content and organize legal training sessions for employees (labor law, occupational safety, information confidentiality).
