CME is led by a seasoned management team with leading partners in the energy sector with many years of experience in deploying and operating power plants in Vietnam. We are looking for: SENIOR LEGAL OFFICER
Main Responsibilities:
1. Energy Projects
- Draft, review contracts related to renewable energy project development, including Power Purchase Agreements (PPAs), equipment leasing agreements, EPC contracts, and O&M contracts.
- Conduct legal due diligence on energy projects.
- Provide legal advice on project compliance, licensing matters and applicable regulatory.
- Provide legal counsel and support in resolving disputes or issues arising with partners and clients during project development and operations.
2. Corporate Governance
- Implement internal corporate procedures for shareholders meetings, boards of directors/members councils, and other governance bodies to ensure compliance with internal regulations and applicable law.
- Advise on the development and issuance of internal policies, regulations, and procedures.
3. Ad Hoc Matters
- Provide legal support on relevant documentation for M&A, financing activities (e.g., reviewing agreements, compiling due diligence documents).
- Handle other legal tasks assigned by the Legal Assistant Manager or senior management.
Requirements:
- Bachelor's degree in Law.
- Licensed lawyer in Vietnam is preferred.
- At least 3 years of relevant legal experience, preferably in an international company, renewable energy, infrastructure or reputable law firm.
- Hands-on experience in contract drafting/review, particularly for project-related agreements and corporate legal matters.
- Strong contract drafting and legal documentation skills.
- Good understanding of corporate governance framework and regulatory compliance.
- Good analytical skills with the ability to identify and communicate legal risks in practical manner.
- Good interpersonal and communication skills, with the ability to collaborate effectively across functions and with external stakeholders.
- Good command of English, both written and spoken, at a professional working level.
