This role is responsible for supporting all legal aspects of mergers and acquisitions (M&A) and the company's ongoing project operations. The position requires a solid foundation in investment, corporate, and real estate law, with an emphasis on transaction structuring, legal due diligence, contract negotiation, and compliance.
The Senior executive will work closely with cross-functional teams and external legal counsel to ensure all M&A and operational activities align with legal and regulatory standards and effectively support business objectives.
Key Responsibilities:
1. M&A Transactions
i. Conduct and manage legal due diligence for company acquisitions, land/project purchases, and equity investments.
ii. Prepare, review, and negotiate transaction documents such as NDAs, LOIs, term sheets, SPAs, and ancillary agreements.
iii. Liaise with the Business Development Unit and external counsel to ensure the timely completion of M&A transactions.
iv. Monitor fulfillment of conditions precedent (CPs) and post-closing obligations.
v. Identify legal risks in M&A deals and provide strategic mitigation advice.
2. Legal Support for Operations
i. Draft, review, and manage commercial contracts, project agreements, and customer sale & purchase contracts (SPCs).
ii. Ensure project and business operations are fully compliant with legal regulations.
iii. Provide legal support to internal departments (e.g., Customer Service, Sales, Operations) and coordinate responses to customer inquiries.
iv. Maintain and update a centralized repository of FAQs and legal guidance related to SPCs and operational contracts.
v. Support pre-litigation matters by working closely with internal stakeholders and the litigation team.
3. Advisory and Risk Management
i. Deliver clear, practical legal advice to business units and relevant units.
ii. Research and assess legal risks related to business plans, new ventures, or operational practices.
iii. Support negotiations with external parties to protect the company's legal and commercial interests.
4. Legal Administration
i. Translate, store, and update legal documents and internal templates.
ii. Assist in legal reporting and maintaining compliance documentation for internal audits or regulatory inspections.
Qualifications & Experience:
i. Bachelor's degree in Law (LL.B); law practice certificate.
ii. Minimum 7 years of relevant experience, with at least 4 years in M&A or legal operations within a real estate developer or multinational company.
iii. Strong knowledge of M&A legal frameworks, property laws, transaction structures, and contract management.
