Senior Legal Executive (Vietnamese)
1. Contract & Risk Management
1.1. Drafting & Review: Drafting, review, and negotiate Company's agreements, Contracts, and proposals, to ensure appropriate legal and commercial terms, clear scope allocation, compliance, and proper allocation of risk and liability for the Company (Based on the application and interpretation of industry standard contracts: FIDIC, etc.), in accordance with applicable legal regulations.
1.2. Working/Coordinating with relevant departments for the purpose of collecting information and records to prepare Contract documentation and related legal documents;
1.3. Updating the status of Contracts, contract performance, and managing input data for Contracts and related legal documentation;
2. Dispute & Claim management
2.1. Dispute Monitoring: Implement standardized internal procedures for early dispute identification, or situations that could lead to disputes and risks. Oversee the initial claim handling by project teams and provide high-level, strategic guidance to minimize the escalation of disputes into formal legal proceedings.
2.2 Advisory: Provide timely and practical legal advice to Project teams upon request regarding events that are likely to lead to disputes or other actual developments or issues at the Project.
2.3. Preliminary Negotiation Support: Participate in and advise during early negotiation rounds to resolve disputes at the project level, helping the negotiating team put forward resolution proposals consistent with the Company's risk exposure and legal position.
3. Compliance and Corporate Management:
3.1. Regulatory Compliance: Review, update, and provide warnings regarding changes, update of law, regulations, compliance issues for Contracts and Projects executed by the Company.
3.2. Policy Development: Propose, develop, and maintain internal legal policies, procedures, and contract guidelines specific to the Company's field of operation.
4.Training:
4.1. Request and oversee post-dispute reviews. Use lessons learned to conduct preventative legal training.
4.2. Implement training programs mandated by the Company or Group regulations and policies.
5. Internal Administration:
5.1. Can propose, build, and standardize the internal operational procedures of the Legal Department to increase operational efficiency, including document storage systems, contract management, and lawsuit tracking.
5.2. Develop and maintain an internal legal database, including standard contract templates, approved legal policies, and lessons learned from previous disputes to serve as the Company's common knowledge asset.
