Key Responsibilities:
- Implementation (on legal part) of business transactions e.g: fund raising, M&A transactions, large asset purchases domestically and internationally; Legal appraisal of other transactions according to company policy.
- Implementation (legal part) of business cooperation and investment projects with domestic and foreign partners;
- Monitor and control the implementation of commitments according to transaction documents made by the Group's departments;
- Research and contribute legal opinions on draft legal documents related to transactions.
- Review transactions, projects and daily operations to find out legal risks that might impact on the company, both now and in the future.
- Propose counter measures to mitigate legal risks.
- Depending on the work scope, the counsel shall conduct the review independently or in cooperation with various internal departments team, other in-house counsels and external consultants.
- Monitor and supervise the follow-up of the review, provide legal update and collect & provide opinions on legal documents and policies on behalf of the Group.
- Other tasks assigned by direct manager
Key Requirements:
- Bachelor and above degree from Law school or equivalent.
- Advanced English command is required.
- At least 10 years of relevant experience; significant experience of advising on complex legal issues with preferable working sectors: M&A, Fundraising, Real Estates or Corporate governance & operations or Intellectual property; large transactions or Commercial / Manufacturing.
- Experience in consulting on business transactions: having experience in consulting on financial transactions, capital mobilization, stock buying and selling, large and complex transactions is preferred
- Good written and oral communication skills, strong negotiation skills.
- Meticulous, critical thinking, business mindset.
- Ability to maintain confidentiality at all times and ensure that confidential data is handled in a sensitive manner.
- Ability to independently plan, prioritize and deliver a wide variety of legal work given tight timescale and in a fast-moving environment.
