Job Description

I. Position Overview

  • The Senior Legal Counsel/ Legal Counsel will provide comprehensive legal support across the Company's renewable energy business, including project development, mergers and acquisitions, commercial transactions, corporate governance, regulatory advisory, compliance and legal risk management. The role supports the full investment lifecycle from project origination through development, financing, construction and operation, while helping ensure that the Company's activities comply with applicable laws, internal policies and international best practices.
  • The Senior Legal Counsel reports to the Head of Legal and is responsible for leading complex and strategic legal matters, supervising the Legal Counsel and driving the development of the Company's legal and compliance framework.
  • The Legal Counsel reports to the Senior Legal Counsel and manages a broad range of legal matters within their assigned portfolio, working under the guidance of the Senior Legal Counsel as appropriate. The Legal Counsel is expected to exercise sound legal judgment, effectively manage day-to-day legal workstreams and escalate complex, high-risk, strategic or precedent-setting matters for review and direction.

II. Key Responsibilities

  • Project development, investments and commercial matters:
  • Provide legal support across the full lifecycle of renewable energy and infrastructure projects, including development, investments, acquisitions, divestments, financing, construction, operation and asset management.
  • Lead or support legal due diligence, structuring, negotiations and execution of strategic transactions.
  • Draft, review and negotiate a broad range of commercial, project and financing agreements, and advise on legal and commercial risks.
  • Corporate, regulatory and compliance:
  • Advise on corporate governance, corporate restructuring, regulatory compliance and general corporate and commercial matters.
  • Prepare corporate approvals and governance documentation, and support licensing, permitting and regulatory engagement.
  • Monitor legal and regulatory developments, assess their business impact and advise on implementation.
  • Develop and maintain legal policies, compliance programmers, governance frameworks and legal risk management processes.
  • Legal risk and dispute management:
  • Identify, assess and mitigate legal, regulatory and commercial risks across the Company's business activities.
  • Support compliance reviews, investigations, regulatory inquiries, disputes, claims, litigation and arbitration, including the management of external counsel.
  • Prepare legal opinions, reports, risk assessments and management updates.
  • Business partnership:
  • Provide practical, commercially focused legal advice to management and business teams, supporting strategic initiatives and day-to-day operations.
  • Work collaboratively with internal stakeholders and liaise with regulators, government authorities, counterparties, lenders, investors and external advisers.
  • Promote legal and compliance awareness and contribute to the continuous improvement of the Company's legal function.

III. Qualifications

  • Education:
  • Bachelor of Laws (LL.B.); a Master of Laws (LL.M.) or an overseas legal qualification is an advantage.
  • Experience:
  • Senior Legal Counsel
    • Minimum 8-10 years of experience at a reputable law firm, multinational corporation, listed company, infrastructure developer, renewable energy company or a combination thereof.
    • Strong experience in corporate and commercial law, project development, M&A, regulatory advisory, corporate governance, compliance and legal risk management.
    • Demonstrated experience leading complex transactions, strategic projects and cross-functional legal matters.
    • Demonstrated experience establishing or enhancing compliance frameworks, governance systems, legal risk management programmes or internal control frameworks.
    • Experience supporting project financing, investments, acquisitions, joint ventures or other strategic transactions is highly preferred.
    • Strong understanding of Vietnamese investment, corporate, energy, land, construction, environmental and commercial laws.
    • Expertise (highly preferred): Comprehensive understanding of the renewable energy sector, including project development, project financing, DPPA mechanisms, electricity retail and wholesale market structures, project investor selection and bidding processes, and the regulatory framework applicable to renewable energy projects.
    • Demonstrated ability to supervise legal workstreams, mentor junior legal professionals and manage external counsel.
  • Legal Counsel
    • Minimum 4-6 years post-qualification experience at a reputable law firm, multinational corporation, infrastructure developer, renewable energy company or in commercial legal practice.
    • Experience advising on corporate and commercial matters, project development, regulatory advisory, contract negotiation or compliance.
    • Familiarity with legal due diligence, commercial contracts, corporate governance and legal risk assessments.
    • Experience supporting investments, M&A transactions, project development, project financing or large-scale commercial projects is preferred.
    • Working knowledge of Vietnamese investment, corporate, energy, land, construction, environmental and commercial laws.
    • Expertise (highly preferred): Understanding of the renewable energy sector, including project development, project financing, DPPA mechanisms, electricity retail and wholesale market structures, project investor selection and bidding processes, and the regulatory framework applicable to renewable energy projects.
  • Skills & Competencies:
  • Language: Excellent command of English and Vietnamese; ability to draft, negotiate, and finalize complex transactional and project documents in both languages.
  • Core competencies: High level of professional independence and commercial acumen; proven ability to drive transactions to completion and manage cross-functional stakeholders with minimal supervision.
