KEY RESPONSIBILITIES
1. Corporate Legal Advisory
- Advise on corporate structures, governance frameworks and operational matters of project companies and affiliated entities.
- Provide legal advice on company establishment, restructuring, amendments, dissolution and corporate governance matters.
- Support Board of Directors, Shareholders Meetings and management in relation to corporate governance, authority delegation and authorization arrangements.
- Advise on employment, licensing, compliance and regulatory matters required for business operations.
2. Project Development Legal Advisory
- Conduct legal review and assessment of project structures, ownership, approvals, licenses and project legal documentation.
- Provide legal advice throughout the project lifecycle, including investment approval, land acquisition, compensation and site clearance, development, operation and commercialization.
- Support and coordinate legal procedures with government authorities and relevant stakeholders.
- Review and advise on amendments, adjustments and additional approvals arising during project implementation.
3. Investment, M&A and Financing Transactions
- Conduct legal due diligence and identify legal risks associated with investment opportunities, acquisitions and project developments.
- Prepare legal due diligence reports and provide recommendations for transaction execution.
- Advise on transaction structures for investments, acquisitions, divestments, mergers and project transfers.
- Draft, review and negotiate transaction documents, including shareholders agreements, joint venture agreements, share purchase agreements and project transfer agreements.
- Advise on project financing, capital raising structures and lending arrangements.
- Review financing documents, security arrangements and transaction-related legal documentation.
4. Commercial Contracts & Procurement
- Develop and maintain standard contract templates for infrastructure and project development activities.
- Draft, review and negotiate EPC, construction, consultancy, procurement, operation and maintenance contracts.
- Provide legal support throughout procurement, tendering, contractor selection and contract administration processes.
- Advise project teams on contract implementation, variations, claims and contractual obligations.
5. Legal Risk Management & Dispute Resolution
- Identify, assess and mitigate legal risks arising from project development and business operations.
- Advise on and handle claims, disputes and conflicts with contractors, partners and other stakeholders.
- Represent the company in negotiations, mediation, arbitration and litigation matters.
- Prepare legal submissions, reports and responses to government authorities and regulatory bodies.
- Monitor legal and regulatory developments affecting aviation, infrastructure and real estate sectors.
JOB REQUIREMENTS
- Bachelor's Degree in Law; Master's Degree is an advantage.
- Qualified Lawyer with valid practicing certificate preferred.
- Minimum 10 years of legal experience, including substantial exposure to large-scale infrastructure, aviation, transportation, energy or real estate development projects.
- Strong experience in project development, M&A, investment transactions and commercial contracts.
- Experience working with government authorities and regulatory agencies.
- Prior experience in leading law firms, infrastructure developers, investment groups or large corporations is highly preferred.
- Strong legal drafting and negotiation skills.
- Excellent analytical and risk assessment capabilities.
- Strong stakeholder management and communication skills.
- Professional English proficiency, particularly in legal drafting and negotiations.
