Role Description
We are looking for an Associate / Senior Associate – FDI & Commercial Law to join our team in Ho Chi Minh City.
The role will focus on advising foreign investors and multinational clients on FDI, corporate, commercial and regulatory matters in Vietnam.
Key responsibilities include:
- Advising foreign investors on market entry, investment structures and ongoing operations in Vietnam.
- Handling IRC, ERC, M&A, investment restructuring, corporate changes and specialised licensing procedures.
- Drafting, reviewing and negotiating commercial contracts and transaction documents.
- Conducting legal research and preparing practical legal advice for international clients.
- Advising on corporate governance, regulatory compliance and operational legal matters.
- Working directly with clients, Vietnamese authorities and other professional advisers.
- Supervising and mentoring junior lawyers and legal assistants where appropriate.
Qualifications
- Bachelor's degree in Law (LL.B); Vietnamese lawyer qualification is preferred.
- Minimum 5 years of relevant legal experience, preferably with a law firm.
- Strong practical experience in FDI, investment procedures, corporate matters and specialised licensing.
- Good experience in drafting and reviewing commercial contracts.
- Strong command of English, with the ability to work directly with international clients and prepare legal documents in English.
- Strong legal research, drafting, analytical and problem-solving skills.
- Good client-handling and matter-management capabilities.
- Able to work independently while collaborating effectively within an international professional environment.
- High professional integrity, attention to detail and sense of responsibility.
Knowledge of Chinese or Korean is an advantage.
