HCM or Hanoi - Vietnamese qualified Lawyer only - Regional Firm - ASAP
Introduction
We are partnering with a reputable Regional Law Firm with a strong international footprint to support the transactions from Vietnam's viewpoint with a new Mid-level or Senior Associate specialised in Corporate M&A.
The firm delivers high-quality legal services across SEA, combining international-standard practice with deep local market insight. Its Vietnam team advises multinational clients, foreign investors, and leading regional corporations on complex cross-border matters, particularly in Infrastructure, Banking and Corporate matters.
What You Will Do
- Lead and support M&A transactions, joint ventures, cross-border investments, and corporate restructuring, from deal structuring through to closing.
- Manage due diligence, regulatory analysis, transaction documentation, and risk assessments for both local and international clients.
- Draft, review, tailor, and negotiate complex commercial and corporate contracts, ensuring practical alignment with client objectives and Vietnamese regulatory requirements.
- Independently run workstreams and coordinate with partners, local stakeholders, and regional teams across multiple jurisdictions.
- Advise foreign and domestic clients on market entry, corporate governance, compliance, licensing, and general corporate matters.
- Maintain strong communication with multinational clients, acting as a trusted advisor on Vietnam-specific legal and commercial considerations.
- Contribute to client relationship management, internal knowledge development, and the continued growth of the Vietnam office.
What you will bring
- Vietnamese qualified Lawyer (Lawyer Practicing Certificate) mandatory
- Minimum 5-8 years of solid experience in Law Firm in Corporate / M&A / Transactional work gained on regional, or international deals
- Proven ability to manage transactions independently, spot issues early, and propose clear, actionable solutions.
- Full proficiency inEnglish and native Vietnamese, additional foreign languages are a plus.
- Strong understanding of the Vietnam Legal landscape
- International exposure (education or professional experience) is highly valued;
- Take ownership of matters and drive them forward with minimal supervision.
