1. Corporate Legal Advisory
- Provide legal advice to the Management on legal matters relating to business operations, investment, human resources, contracts, corporate governance, labor, tax, commerce, intellectual property and internal compliance; update and communicate new legal regulations relevant to the company's operations.
- Review the legal validity of company regulations, policies, transaction dossiers, contracts and investment projects.
- Propose legal solutions to minimize risks for the company.
- Participate in the development of business strategies from a legal perspective for current operations as well as new projects and products.
2. Contract Management
- Directly review and negotiate various types of contracts, including economic, commercial, labor and civil transaction contracts, investment transactions and capital-raising arrangements.
- Establish a contract management system.
- Develop standardized contract templates.
- Control and advise on legal terms and conditions to protect the company's interests.
- Manage and archive legal dossiers and contract documents.
3. Legal Compliance
- Develop and implement an internal compliance system, a legal risk management system and internal control framework.
- Update new legal regulations relevant to the company's operations.
- Conduct internal legal training for departments.
- Work with state authorities on licensing, renewal, inspection and audit matters.
4. Legal Risk Management
- Identify and assess legal risks in business operations.
- Establish an internal compliance management system.
- Propose preventive and corrective measures.
- Establish legal control procedures.
- Participate in handling matters related to inspections, audits, complaints, labor disputes, commercial disputes, litigation and other legal proceedings.
- Represent the company in working with state authorities, legal partners, law firms and courts.
5. Dispute Resolution
- Act as the company's legal representative or authorized representative in litigation and in working with competent authorities, lawyers and courts in accordance with regulations.
- Handle commercial, labor, civil and investment disputes.
- Manage litigation and dispute-resolution files.
6. Legal Team Management
- Build, recruit, train and develop the legal team.
- Assign tasks and supervise work performance.
- Evaluate the performance of the legal team.
7. Corporate Legal Affairs and Strategic Business Support
- Carry out legal procedures such as changes to business registration, licenses and other corporate legal documents.
- Manage the company's legal dossiers.
- Serve as the focal point for working with state authorities.
- Participate in advising on investment strategies and market expansion.
- Conduct legal due diligence for investment projects.
- Propose optimal legal solutions for new business activities.
- Participate in building a corporate governance system in line with group and international standards.
8. Reporting
- Establish periodic reporting systems, including weekly, monthly and quarterly reports on legal and compliance status.
- Prepare reports on material legal risks.
- Prepare reports on disputes, claims and lawsuits.
- Prepare ad hoc reports when serious legal issues arise or when changes in legal policies have a significant impact on the company.
- Present reports to the Management in a clear manner, including analysis and proposed solutions.
- Include impact assessments covering financial, operational and reputational aspects where relevant.
- Evaluate the performance of the legal team.
9. Execution of Management Instructions
- Receive and implement legal requests from the Board of Directors and the Board of General Directors.
- Monitor the progress of implementation of Management instructions.
- Coordinate with relevant departments to ensure effective implementation.
- Report implementation results and propose adjustments where necessary.
