We are seeking a highly motivated Legal Compliance Executive at InCorp to provide professional compliance and business advisory services to international clients investing in Vietnam.
This role involves managing legal and tax registrations, company establishment, investment procedures, and post-licensing mattersensuring all projects are delivered on time, within scope, and within budget.
I. Key Responsibilities
Client Advisory & Research
- Conduct research and provide consultation on compliance, regulatory, investment, and tax issues for both existing and potential foreign investors.
- Advise foreign investors on establishing and operating foreign-invested enterprises (FIE/FDI) in Vietnam.
- Analyze and evaluate new and existing business models for clients.
Project & Legal Management
- Develop strategic goals, legal solutions, and project plans; monitor progress to ensure successful completion.
- Prepare and review investment proposals, resolutions, contracts, and other legal documentation.
- Execute and manage legal and tax registration, establishment, and investment procedures for clients.
Collaboration & Relationship Building
- Work independently or cross-functionally with other teams to deliver high-quality service to clients.
- Build and maintain strong relationships with government authorities, legal/tax partners, and other key stakeholders.
- Support the Head of Department in preparing and reviewing legal documentation for internal operations.
Business Development
- Contribute to the firm's business development and marketing initiatives.
- Advise and support on legal, tax, HR, and IP matters as required.
- Perform any other tasks or projects assigned by the Manager or direct supervisor.
II. Qualifications
Education
- Bachelor's Degree in Law (LLB) is required.
- Lawyer Practicing Certificate is an advantage.
Knowledge
- Solid understanding of Company Law, Investment Law, Civil Law, Corporate Governance, and Foreign Investment Regulations.
- Experience advising on foreign business establishment and operations in Vietnam.
Experience
- Minimum 4 years as an In-house Legal Counsel, or 3 years in a law firm or service company.
- Prior experience working with foreign companies is preferred.
Skills
- Excellent command of English (both written and spoken) is mandatory.
- Strong communication, research and analysis, problem-solving, and attention to detail.
- Demonstrates resilience, confidence, and the ability to work independently.
