Job Description

RESPONSIBILITIES:

Legal & Corporate Governance

  • Develop and implement work plans relating to internal legal and corporate governance matters.
  • Provide legal advice on internal processes and the implementation of legal procedures.
  • Draft, review, and control internal documents to ensure compliance with applicable laws, regulations, and internal policies and procedures.

Contract Appraisal and Management

  • Conduct legal reviews and assessments of contracts and agreements to ensure compliance with Vietnamese regulations and internal legal risk management standards.
  • Develop and maintain a standardized list of contract templates to ensure uniformity and minimize legal exposure across all departments.
  • Manage the company's contract management system to track lifecycles, deadlines and performance.
  • Act as a strategic advisor to other departments, providing clear guidance on contract interpretation and use of management systems.
  • Other tasks are assigned by the manager.

Internal Documents Management

  • Appraise internal policies, procedures, and regulations to ensure they are legally sound and harmonized with the OM's overall governance structure.
  • Proactively draft and refine internal documents of Legal Department to reflect changes in the law or shifts in business strategy, ensuring a sustainable legal connection within the company.
  • Build and enforce the document governance framework to ensure all internal regulations are properly issued, communicated, and archived.
  • Manage the operation of the internal document management system (IDMS) to increase operational efficiency and transparency.
  • Other tasks assigned by the manager.

REQUIREMENTS:

Key Skills & Qualifications

  • Bachelor's degree in Law or higher degree from a reputable university.
  • Minimum 35 years of professional experience as an in-house lawyer, compliance officer, or at a reputable law firm.
  • Good command of written and spoken English.

Domain Expertise

  • Deep understanding of corporate governance, intermediary payment services, data governance and data privacy, technology, information security.
  • Good understanding of the Vietnamese legal framework regulations and compliance practices.
  • Experience in intermediary payment services and banking products and operations, together with knowledge of intellectual property, is preferred.
