II.  OVERVIEW

Report to: Head of Legal & Compliance Department

Location: Gia Lam, Hanoi, Vietnam

Job summary:

The Legal & Compliance Specialist will assist and advise on a wide range of legal and compliance matters across VinDynamics domestic and international operations.

The role supports business and operational functions by providing practical, business‑oriented legal solutions while ensuring compliance with applicable laws, regulations, and internal governance requirements in a fast‑paced, technology‑driven environment.

III. REQUIREMENTS

Relevant education and experience

• Bachelor's degree or higher in Law.

• Qualified lawyer or LLM.

• Minimum 4–6 years of legal experience, including at least 3 years in an in-house counsel role.

• Experience in technology companies, multinational corporations, or large conglomerates.

Preferred Qualifications

• Ability to conduct legal research, analyze complex issues, and provide practical legal opinions and advice.

• Experience in intellectual property (IP), data protection.

• Experience in cross-border investment and entity setup.

• Experience in M&A transactions.

• Familiarity with legal frameworks in markets such as the US, or other international jurisdictions will be a plus.

• Experience in working with international stakeholders, investors, and partners.

• Experience in developing and implementing compliance policies and procedures.

Personality/Attitude

• Proactive, solution-oriented, and capable of operating in a fast-paced startup environment.

• High level of integrity, ownership, and accountability.

• Strong analytical thinking and attention to detail.

• Fluent in English (both written and spoken).

IV.  JOB DESCRIPTION

• Advise and support all legal and compliance matters for VinDynamics across Vietnam and international markets.

• Provide legal advice on intellectual property matters, including protection, registration, licensing, and risk management for robotics technologies.

• Support international expansion, including legal structuring, entity setup, and regulatory compliance in overseas markets.

• Advise and support M&A transactions, including due diligence, structuring, negotiation, and execution.

• Draft, review, negotiate and assist the execution of a wide range of commercial contracts and agreements, documents.

• Work closely with cross-functional teams (e.g Finance, HR, R&D, Procurement) to provide practical and business-oriented legal solutions.

• Coordinate with colleagues across VinGroup's affiliated companies, external legal counsel and relevant authorities when necessary or required.

• Conduct internal audits and compliance reviews of the Company upon request or as part of periodic inspections.

• Other tasks as assigned by the line manager.
