A. OVERALL
The Investment Project Manager is responsible for managing TTC AgriS's project investment activities, ensuring the identification, assessment, execution, and management of investment opportunities aligned with the company's strategic direction, particularly in sustainable agriculture and digital transformation. This position provides strategic advice to senior management on investment plans, M&A transactions, and portfolio management while ensuring regulatory compliance and maximizing financial performance.
B. KEY RESPONSIBILITIES:
1. Investment Opportunity Sourcing
- Analyze and assess market trends within the agricultural ecosystem to identify suitable investment opportunities aligned with TTC AgriS's strategic direction.
- Collaborate with investors, partners, and government agencies to promote investment opportunities, ensuring compliance with legal regulations and company policies.
- Monitor market trends and regulatory changes to recommend new investment opportunities, especially in smart and sustainable agriculture.
2. Investment Project Approval Advisory
- Coordinate with relevant departments (Legal, Finance, Operations, R&D) to conduct project due diligence, including Legal (LDD), Financial & Tax (FDD & TDD), and Commercial (CDD).
- Prepare pre-feasibility (Pre-FS) and feasibility studies (FS) to evaluate the financial and operational viability of investment projects.
- Consolidate information, prepare investment analysis reports, and present investment proposals in the Investment Proposal Report or Investment Decision Report for approval.
- Advise senior management on collaboration structures, project acquisition, or divestment strategies to optimize investment value.
3. M&A Execution and Advisory
- Coordinate with relevant stakeholders to execute approved investment projects.
- Adjust investment plans based on actual developments, ensuring alignment with strategic objectives.
- Participate in negotiations with investors, project owners, or partners to finalize transactions and maximize investment returns.
- Manage administrative procedures related to M&A transactions, ensuring legal compliance and timely project execution.
4. Investment Portfolio Management
- Project Appraisal: Collaborate with relevant units to analyze and review the financial and operational performance of active or potential investment projects.
- Develop and systemize the investment portfolio, providing a foundation for tracking and assessing project performance in line with company strategy.
- Recommend portfolio restructuring plans (pricing, weighting, divestment) to align with strategic goals.
- Execute divestments or liquidations of non-core investments to optimize resources and returns.
- Investment Performance Assessment: Establish regular review schedules (quarterly, annually) to evaluate project performance against approved investment decisions, identify root causes, and propose corrective actions.
5. Financial Investments
- Research markets and legal regulations to identify financial investment opportunities with domestic and international investors/partners while ensuring compliance.
- Assess and categorize financial investment portfolios, advising on potential and performance.
- Prepare reports, conduct investment analysis, and present financial investment proposals in Investment Proposal or Investment Decision Reports.
- Recommend financial investment structures, collaboration plans, and divestment strategies for non-strategic assets.
- Manage financial investment portfolios and the performance of capital representatives.
6. Investment and Project Legal Compliance
Investment Legal Compliance:
- Review and assess the legal aspects of target companies during the investment process, working with the Legal department to prepare Legal Due Diligence (LDD) reports.
- Propose viable investment structures to mitigate legal risks.
- Draft contracts, transaction documents, and related investment documentation.
- Participate in negotiations with partners to finalize investment structures and contractual terms, ensuring the company's interests are protected.
Project Legal Compliance:
- Conduct legal reviews of projects, collaborating with Legal to complete LDD reports.
- Prepare and manage legal documentation related to planning, investment approvals, and land use.
- Liaise with government agencies to address project-related legal matters and build strong institutional relationships to support investment progress.
- Stay updated on legal and regulatory changes to ensure compliance in all investment activities.
C. QUALIFICATIONS
- Bachelor's degree or higher, preferably in Finance, Investment, Economics, Law, or related fields. MBA or CFA certification is a plus.
- Proficiency in both English and Vietnamese.
- Minimum of 7 years of experience in project investment, M&A, or portfolio management, preferably in agriculture or related industries.
- Proven experience in working with government agencies, contract negotiation, and managing complex investment projects.
- Strong financial analysis skills, including pre-feasibility (Pre-FS), feasibility studies (FS), and investment evaluation (ROI, NPV, IRR).
- Advanced negotiation and stakeholder management skills.
- Project management and cross-functional coordination skills.
- Proficiency in drafting contracts and legal documents related to investment.
- Excellent command of English (written and spoken) for working with international partners.
- Deep understanding of the agriculture market, sustainable investment trends, and digital transformation.
- Strong knowledge of investment laws, project legal compliance, and M&A-related regulations.
