I. POSITION PURPOSE
The Legal & Compliance Senior Director is responsible for leading all legal and compliance governance activities across PNJ Group. As PNJ accelerates its expansion into the lifestyle ecosystem with new business models and strategic partnerships both domestically and internationally, this role ensures that all investment and development activities are carried out in full compliance with the law, with optimized legal structures and sustainable risk governance.
Core Role: Legal Strategic Partner — providing strategic legal counsel to the Executive Board on critical business and investment decisions of the Group.
II. KEY RESPONSIBILITIES
1. Strategic Legal Advisory & Investment Transactions
Provide legal counsel for the Group's investment activities, international trade, and business partnerships. Participate in building and optimizing legal structures for complex transactions, including:
• Mergers & Acquisitions (M&A)
• Capital structuring and investment cooperation with foreign partners
• Commercial franchising and international trade in goods
• Developing and completing legal documentation for the Group's strategic investment projects
2. Contract Review & Governance
Review and advise on legal terms in contracts and agreements between PNJ and domestic and international partners. Ensure all contracts simultaneously:
• Fully comply with applicable laws and regulations
• Maximize protection of the Company's interests
• Meet the business timelines of relevant units
3. Corporate Legal Procedures Management
Handle legal procedures throughout the entire corporate lifecycle: establishment, business registration changes, and dissolution. Manage the system of business licenses and administrative procedures related to PNJ Group's operations.
4. Legal Advisory for the Executive Board
• Update, systematize, and interpret legal regulations affecting business operations
• Provide timely legal solutions for issues arising during operations
• Serve as legal representative in litigation or dispute resolution proceedings when necessary
• Proactively monitor legal changes and assess their impact on business strategy
5. Building Compliance & Governance Framework
• Build and operate a comprehensive compliance framework: policies, internal controls, and compliance monitoring
• Establish a legal risk management framework for the entire Group
• Detect and address internal legal violations in accordance with governance procedures
• Ensure the governance system meets standards of transparency and sustainability
6. Developing Legal Capabilities within the Organization
• Build, lead, and develop the legal team — including managing external law firms and optimizing legal costs
• Implement legal knowledge training programs for business units across the Company
• Develop operational plans and enhance the professional capabilities of the Legal Department
III. JOB REQUIREMENTS
Education & Certifications
• Bachelor of Laws — preferably specializing in international law or commercial law
• Master of Laws (LLM) or bar admission is an advantage
Experience
• 10–15 years of legal experience, with at least 3–5 years at Legal Director / Head of Legal / Senior Counsel level
• Prior experience serving as a legal partner directly to the BOD or Executive Board
• Hands-on experience with at least one M&A or cross-border transaction
• Fluent in English — reading, drafting, and negotiating contracts in English
