Responsibilities
Real Estate & RWA Structuring (Vietnam)
- Conduct in-depth legal research and analysis across the Vietnamese legal framework, including:
- Land Law, Real Estate Business Law, Housing Law
- Enterprise Law, Investment Law
- Regulations governing property ownership, transactions, foreign capital entry
- Develop, evaluate, and optimize onshore/offshore structures for asset acquisition and tokenization (e.g., SPVs, holding companies, lease-rights structures).
- Assess feasibility and compliance for real estate-backed digital assets under Vietnam's digital asset pilot program.
Digital Assets, Tokenization & Web3 Regulation
- Monitor and interpret Vietnamese regulatory developments on virtual assets, blockchain, tokenization, and securities classification.
- Benchmark global tokenization legal frameworks (EU MiCA, MAS Singapore, Switzerland FINMA, US SEC guidelines, Dubai VARA) and advise on best-fit models for cross-border distribution.
- Analyse token classifications (security token, asset-backed token, utility token) and define legal rights, investor protections, and issuance obligations.
Drafting & Reviewing Key Documentation
- Prepare, review, and negotiate bilingual (VNEN) documents.
- Ensure document drafting aligns with technical realities of tokenization:
- governance rights, cash-flow distribution, smart-contract logic, and investor rights.
- Support the Tokenization Expansion in managing active projects from onboarding to delivery.
- Conduct research, prepare memos, and synthesize insights for business and product decisions.
- Track project milestones, maintain accurate reporting, and ensure timely delivery.
- Help structure internal workflows and process improvements to enhance scalability.
- Support the functional development of the platform according to market needs.
Qualifications
Required
- Understanding of Stablecoins fundamentals, , regardless of specific job background or educational qualifications.
- Experience in managing and coordinating projects, with the ability to effectively communicate with cross-functional teams and resolve issues promptly and efficiently.
- Strong sense of ownership with a proactive, solution-oriented mindset, accountability, and responsibility.
- Committed to long-term success, with a focus on contributing to the role for long term.
- Fluency in English is required to be able to coordinate with overseas partners and stakeholders.
Preferred
- Experience with Web3/Blockchain/Digital Assets legal environment in Vietnam and key international jurisdictions.
- Exposure to fund structures, SPVs, or financial products.
- Background working with law firms, fund managers, fintechs, or real estate developers.
- Experience working at Blockchain projects, Crypto Exchanges, Venture Capital Funds (VC) or FinTech companies
