Corporate Legal Counsel (Senior)

Role Description

1. Legal Advisory (30%): Provide expert opinions on business conditions, corporate governance, restructuring, and enterprise innovation.

2. Governance & Securities (30%):

• Manage internal governance documents (GSM, Board, Inspection Committee) and monitor subsidiary compliance.
• Handle procedures for public company status, listings, bond issuances, and mandatory information disclosure.

3. Internal Frameworks (20%): Standardize regulations, policies, and master templates specifically for restructuring and corporate transformation.

4. Compliance & Risk Control (20%):

• Analyze new laws and administrative directives to assess their impact on operations.
• Issue early warnings and propose solutions for risks in Group and subsidiary management.

Qualifications

• Proficiency in Law and expertise in addressing a wide range of legal issues.
• Experience in providing thorough Legal Advice and assessments, especially on corporation and securities law.
• Strong analytical, problem-solving, and decision-making skills relevant to legal matters.
• Strong communication skills.
• Fluency in both Vietnamese and English (spoken and written) is highly desirable.
• Experience working with large economic or multinational corporations is an advantage.
• Qualified to practice law in Vietnam; advanced legal certifications are beneficial.
