Position Summary

The Associate supports the Corporate and M&A practice group at Rajah & Tann LCT Lawyers by providing high-quality legal services to clients and assisting with a broad range of corporate and commercial matters. The role involves conducting drafting and reviewing legal documents, supporting transactions, and progressively taking responsibility for managing smaller matters under supervision. The Associate is also expected to begin developing client relationships, preparing fee proposals, and contributing to business development initiatives while continuing to build legal and commercial expertise.

Reporting line

Reports to: Partners, Counsel, Senior Associates

Direct reports: Paralegals, and Junior legal assistants

Key external relationships: Clients, government agencies, chambers of commerce, Rajah & Tann Asia offices, and other professional networks

Key Accountabilities

·        Advise clients on legal matters within the Corporate and M&A practice group under the supervision of Partners, Counsel, and Senior Associates.

·        Conduct legal research and analysis on corporate, commercial, investment, and regulatory matters.

·        Draft, review, and negotiate contracts, agreements, legal opinions, corporate documents, and correspondence.

·        Support M&A transactions, corporate restructurings, due diligence exercises, foreign investment projects, and other corporate matters.

·        Manage smaller matters and workstreams independently in areas where the Firm has established expertise, with appropriate supervision and guidance.

·        Prepare and deliver fee proposals for designated matters in accordance with the Firm's policies and procedures.

·        Liaise with clients, government authorities, and other stakeholders regarding ongoing matters.

·        Maintain accurate time records and assist with billing and matter management processes.

·        Collaborate with colleagues across Rajah & Tann Asia offices and other practice groups where required.

·        Contribute to knowledge management initiatives, legal updates, precedents, and internal training activities.

·        Participate in client events, seminars, networking opportunities, and business development initiatives.

·        Other tasks not specifically listed in this document may be assigned from time to time.

Key Selection Criteria

·        Law degree from a recognized university; postgraduate qualifications are an advantage.

·        A qualified attorney with a license to practice law in Vietnam.

·        Minimum 5–7 years of experience in corporate law, M&A, or related practice areas.

·        Strong legal drafting, research, analytical, and problem-solving skills

·        Ability to manage smaller matters with appropriate supervision and exercise sound professional judgment.

·        Strong client service orientation and developing client relationship management skills.

·        Effective communication and interpersonal skills.

·        High level of professionalism, integrity, and attention to detail.

·        Commitment to continuous learning and professional development.

·        Excellent communication skills in English and Vietnamese (both written and spoken).
